The two main types of corporations in Costa Rica are the Sociedad Anónima and Sociedad de Responsabilidad Limitada. Both offer shareholders protection from personal liability operating as separate legal entities.

When deciding between any of the two types of corporations indicated before, it’s important to consider the scope of business, transaction, or investment you will be undertaking. Both types of corporation are governed by the Bylaws drafted in accordance with that shareholder’s interests and needs.

However, many investors or businesspersons do not take full advantage of this tool due to the lack of legal advice.

 

Is A Notary Public Required to Incorporate?

Yes, a notary public is required to incorporate since incorporation is executed through a public deed that must be recorded before the Costa Rican public register via a digital platform known as CrearEmpresa.

It’s important to retain the services of an experienced notary in corporate law for tailored advice on the drafting of the corporate bylaws of the company to be incorporated.

 

What Is the Process to Incorporate a Company?

The process to incorporate a company is very straightforward and it can be done remotely. You don’t need to be in Costa Rica to incorporate, and the process should take around 2 to 4 days.

The first step is to choose a unique company name that complies with all the registration rules and or to request a company identification number as the company name.

Thereafter, the appointment and acceptance letters must be executed by the directors of the company. This in order to accept their positions. Basic information such as full name, address, occupation, and the identification document should be provided to the notary. This in order to include the information in the corporation deed draft, and thereafter file it before the national registry.

Once the company is recorded, it will be assigned a company identification number and have a legal personality as well. The company’s legal books can be printed after the registration and the ownership entries recorded privately.
